We don't keep strict office hours - we work when you need us.

We do things differently.

Sierra Legal does things a little differently. We are a boutique corporate firm with deep M&A capability and a genuine understanding of technology businesses. We work with founders, operators, investors and established companies that need commercially sharp legal advice without the usual law firm theatre. A few of us probably spend more time in a bash terminal and an IDE than in Microsoft Word. It turns out that is surprisingly useful when you are advising software, SaaS and other technology-led businesses.your needs.

So many law firms do things the way they have been done since the beginning of time. But people are different today. Their needs are different. It's a 24/7, fast-paced world. And we recognise this.

Simplifying your processes.

Our team is small enough to be nimble and quickly react to your needs. Our lawyers are all highly experienced so that they can meet your needs expertly and promptly.

As far as services go, we do what the big firms do but in a much more innovative and personalised manner. We recognise that we are privileged to work with you and not the other way around.

    Mergers and Acquisitions

Buying, selling or merging a business is one of the most significant things a business owner or management team will do. It should feel exciting. It should not feel like you are being buried in legal process for the sake of it. We help clients navigate M&A strategically and efficiently — from transaction planning and due diligence through to structuring, negotiation and completion.

Get it right, and it could be one of your crowning achievements. But get it wrong, and it's a mistake that will haunt you forever. You need to make sure everything is done with a great degree of thought, care, and accuracy from a legal standpoint.

The Sierra Legal team are the experts you want on your side during any M&A process. Our lawyers have extensive experience and knowledge in this area. But, perhaps, more importantly, they genuinely care about achieving an excellent outcome for you. They'll put in the hard yards. They'll stick by you through what can be quite a lengthy and complex process. And they'll be there to pop the champagne cork and celebrate when the deal has been finalised.

    Our M&A services include:

    • Pre-transaction legal “audits” to prepare businesses for sale
    • Legal vendor due diligence
    • Identifying and approaching potential parties to an M&A transaction
    • Preparation of nondisclosure agreements
    • Transaction structuring advice
    • Drafting and negotiation of term sheets, non-binding indicative offers and other similar documents
    • Establishing and operating online data rooms to facilitate due diligence

Automated Contract Generation with Arreis AUtomation

Are your processes for drafting and preparing contracts inefficient? Most businesses find they are.

Even if you have a master template for contracts, it takes time to figure out which clauses are relevant in each situation. It takes time to populate each contract with the necessary information. And mistakes in the master template or version used get carried over to other contracts.

There is an answer. And it's not employing a full-time legal specialist to oversee the generation of legal contracts and other documents.

The answer is Arreis Automation. Using uniquely advanced technology, we can eliminate the headaches that go along with the preparation of legal documents.

And the great part is, it's incredibly simple to use.

          Monthly Plans

Does your business avoid running every contract, document and legal matter past a lawyer because it’s just too expensive?

Sierra Legal can provide certainty around legal fees, by offering your business customised monthly plans.

Don’t wait until it’s too late to ask for legal advice. Enjoy early and regular contact with our team of legal advisers. Our monthly plans are carefully tailored to suit each client’s needs.

In simple terms, this is how they work:

          • You provide us with some information about the nature and amount of legal advice and assistance that your business is likely to need over the next 12 months.
          • We agree with you on the scope of legal support that you would like from Sierra Legal under the monthly plan - for example, you may like our assistance with all day-to-day commercial legal work involving your business, as well as our assistance in engaging and managing other legal specialists on your behalf in other areas of the law (e.g. litigation).
          • Based on this agreed scope of legal support, we agree with you on an appropriate fixed monthly fee for the monthly plan - for our existing clients, this monthly fee ranges anywhere from $2,000 - $20,000 a month.
          • When agreeing on this fixed monthly fee, we also generally like to agree on some form of simple “fair use policy” - the idea with this is that if in a particular month we need to do an unusually large amount of work such that the agreed “fair use” threshold is triggered for that month, then we would have a discussion with you to agree on a fair and reasonable approach for completion of any further legal work in that month.
          • Once the monthly plan is in place, your business will have access to the friendly and experienced Sierra Legal team in a way that enables you to get some consistency and certainty with your legal services and monthly legal spend - and with the added comfort of being able to end the arrangement at any time by giving one month’s notice.

Don’t live in fear of unexpected legal invoices.
